What a licensed company gives you
Buyers pay for time. A construction licence from scratch takes from 14 working days, licensing of education from 3 months. Preparing the notice of changed licensee data after a purchase takes from 3 working days. That gap is the reason buyers take a company that already holds the licence.
The second reason is the customer. Construction tenders and contracts ask for a licence of the right consequence class at the bid stage, and a contracting authority may add documented experience of a similar contract and financial capacity confirmed by statements (art. 16 part 2 Law No. 922-VIII). A licensed company with past contracts covers both; a company licensed last month covers only the first.

What we check in the licence before signing
Licences under Law No. 222-VIII are issued without a time limit; some types have their own terms under special laws. Validity, scope and any decision to suspend or cancel are visible in the open register of the licensing authority: DIAM for construction, Ukrtransbezpeka for transport. Before the deal we look at four things.
- Validity. The record in the licence register and no decision to cancel or suspend it.
- Scope. The list of works and the consequence class must cover the subject of your contract or tender.
- Licensing conditions. Staff and equipment requirements stay the licensee’s duty after the change of owner, and an inspection looks at the real state of affairs.
- The company itself. Debts, court cases, enforcement proceedings and tax debt pass to the new owner with the legal entity (art. 96 part 1 Civil Code).

Yes. The licence is issued to the legal entity, and a share sale leaves the legal entity, its EDRPOU code and its licence record unchanged. After the change of participants and director the licensee notifies the licensing authority within one month, unless the licensing conditions set another term (art. 15 part 2 Law No. 222-VIII).

Ukraine has no single business licence. A licence is needed for the activities listed in art. 7 of Law No. 222-VIII, such as construction of CC2 and CC3 objects or passenger transport, and for activities under special laws, such as financial services under Law No. 1953-IX.
