In Ukraine the construction of objects of consequence classes CC2 and CC3 is licensed, and the licence belongs to the legal entity. A licence cannot be bought separately: the right to the works passes together with the corporate rights of the licensee. Construction of objects with medium (CC2) and significant (CC3) consequences is subject to licensing in Ukraine (item 9 part 1 art. 7, Law of Ukraine No. 222-VIII).
A licence is the right of a business entity to carry out a licensed activity (item 5 part 1 art. 1 Law No. 222-VIII), recorded in the licence register under the company’s EDRPOU code. A share transfer leaves the code and the licence in place and changes the participants and the director. Legal Solutions, Kyiv, checks the licence record before the deal and runs the transfer.

Licensing covers construction of CC2 and CC3 objects. CC1 objects are built under declarative procedures without a licence. So the first question for the buyer is the class of the objects in the contracts you plan to take, and the list of works the licence has to cover.
In public procurement the contracting authority may add its own qualification criteria from art. 16 Law No. 922-VIII: equipment, qualified staff and documented experience of a similar contract. A construction company with a tender history on Prozorro covers the third criterion; a newly licensed company cannot.

The licence stays. The licensee in the register is the legal entity, and a sale of corporate rights leaves the legal entity the same.
Notice to the licensing authority. The licensee notifies the licensing authority of changed data within the term set by the licensing conditions, and in their absence within one month from the day after the change (art. 15 part 2 Law No. 222-VIII). The licensing conditions for construction (CMU Resolution No. 256 of 30.03.2016) lost force on 18.03.2020 under CMU Resolution No. 219, so the one-month rule applies. We prepare and file this notice as part of the deal.
Obligations. Contracts, tax debt and court cases stay with the company. We check them before sending an option.
Own check. Permits and construction objects of the company are visible in the e-construction.gov.ua system, its tender history on prozorro.gov.ua, its USR record on usr.minjust.gov.ua.
