EDRPOU check: how to verify a Ukrainian company before you buy it
Every Ukrainian legal entity has an EDRPOU code (ЄДРПОУ, also spelled EGRPOU): eight digits assigned at registration. The code opens six state registers free of charge, from the Ministry of Justice register to court decisions and tax debt. Statements and contracts come from the seller before the deposit.

Data in the Unified State Register of legal entities is open, and the portal of electronic services gives access to it free of charge (art. 11, Law of Ukraine No. 755-IV).
The EDRPOU code is the eight-digit identification code of a Ukrainian legal entity in the Unified State Register; it stays the same after the company is sold. By this code you check, free of charge, the company status, director and participants, VAT status, tax debt, court cases and enforcement proceedings. - EDRPOU code
- the eight-digit identification code of a legal entity in the Unified State Register. It is assigned at state registration and stays with the company after a change of participants and director.
- USR
- the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Organisations, kept by the Ministry of Justice. Its data is open and free (art. 11 Law No. 755-IV).
- VAT payer
- a legal entity entered in the VAT payer register of the State Tax Service, with an individual tax number and a date of registration. Registration becomes mandatory once taxable supplies over the last 12 months exceed UAH 1,000,000 (item 181.1 Tax Code of Ukraine).
- Corporate rights
- the rights of a participant whose share is fixed in the charter capital. A ready-made company is sold as an alienation of a share (art. 21 Law No. 2275-VIII).

Why this matters to the buyer of corporate rights
A ready-made company is sold as corporate rights. The legal entity stays the same: the same EDRPOU code, the same registration date, the same history of register entries. The participants and the director change.
For the buyer this has one main consequence: the company’s obligations come with it. Tax debt, an open enforcement proceeding, a court case, a risky VAT payer status or an unpaid loan stay with the legal entity (art. 96 part 1 Civil Code of Ukraine) and become yours on the day of the register entry. A seller may leave something out or may not know about it.
The words “clean company, no debts” are worth only as much as the check behind them. Of 17 company-sale websites we reviewed on 20 September 2026, four print the EDRPOU code on the company card and none links it to a register. We send the code with every option, so you can run the same check yourself.

What each source shows
The three sources give different depth. The USR of the Ministry of Justice is the primary source: name, status, address, director, participants, activity codes (KVED) and charter capital. Opendatabot and YouControl add court cases, enforcement proceedings, tax debt, register changes by year and ultimate beneficial owner data around the same code.
The risky VAT payer status lives separately, with the tax service. The criteria are set by Cabinet of Ministers Resolution No. 1165 of 11 December 2019; annex 1 lists eight of them. A company with this status cannot register a tax invoice until it is unblocked, and a buyer who did not ask in advance learns about it after the deal.
For a larger deal, or a company with a licence, tender history and working accounts, the check goes deeper: primary documents, statements, licence status, contracts and debts to counterparties. In the group this work is done by keys.ua, audit and due diligence.

The eight-digit identification code of a Ukrainian legal entity in the Unified State Register. It is assigned at registration and stays the same after the participants and the director change. Russian-language sources call it ЕГРПОУ (EGRPOU).

Yes. USR data is open and free of charge (art. 11 Law No. 755-IV), and so are the VAT payer register, the court register, the register of debtors and the tax service check. Opendatabot and YouControl have free basic cards and paid deeper reports.
It stays the same. The legal entity remains, and so do its code, registration date and history of register entries. Only the participants and the director change (art. 21 Law No. 2275-VIII).
By the EDRPOU code in the tax service “business partner” check (tax.gov.ua/businesspartner) or in the Opendatabot and YouControl cards. Check the date of the data: tax debt can appear after the extract was printed.
In the VAT payer register of the State Tax Service (cabinet.tax.gov.ua/registers/pdv) by the EDRPOU code: it shows the status and the date of registration. Ask the seller separately whether the company meets any risk criterion of CMU Resolution No. 1165.
A VAT payer that meets one of the eight criteria in annex 1 to CMU Resolution No. 1165 of 11 December 2019. Registration of its tax invoices is blocked until the status is removed, so a buyer needs to know about it before the deal.
