The state registrar reviews documents within 24 hours of filing, excluding weekends and public holidays (art. 26 part 1 item 1, Law of Ukraine No. 755-IV). The term is the same for creating a new LLC and for changing the participants of an existing one.

When buying a ready-made LLC pays off
Buyers pay for what a new company cannot get in a day: a registration date in the past, an active VAT registration, a licence, financial statements and contracts of earlier years.
- Tender. A contracting authority in Prozorro may require documented experience of a similar contract and financial capacity confirmed by statements (art. 16 part 2 Law No. 922-VIII). A new company has none of these documents yet.
- Customers on VAT. Customers who are VAT payers need tax invoices, and only a registered VAT payer issues them. 346 of the 468 companies in our selection come with an active registration — Ukrainian LLC with VAT.
- Licensed activity. A licence belongs to the legal entity and stays valid after a change of participants (art. 15 part 2 Law No. 222-VIII). Construction licences CC2 and CC3 — ready-made construction company.
- Age. A bank, a leasing company or a supplier looks at the years in the register. 25 companies in our selection were registered before 2012 — shelf companies.
The price of all this is somebody else’s history. Debts, tax debt, court cases and enforcement proceedings stay with the legal entity after the change of owner (art. 96 part 1 Civil Code of Ukraine), so we check every company by its EDRPOU code before any deposit. When to register a new LLC
A new LLC is the right choice when the company is a clean shell for your own business. The founders set the name, the shares, the charter, the activity codes and the tax system, and the register holds no entry anyone has to answer for.
- Start without age requirements. Your own shop, services or consulting, where neither customers nor the bank ask how old the company is.
- Turnover is still small. Until taxable supplies over 12 months exceed UAH 1,000,000, VAT registration is voluntary (item 181.1 and art. 182 Tax Code). Legal Solutions can put the VAT request into the registration application itself.
- Several partners with different shares. Rules between partners are easier to write into a new charter than to rewrite the charter of an existing company.
- Foreign founder. Registering an LLC with a foreign founder takes from 7 working days at legal.ua: the foreign register extract must be apostilled or legalised and translated (art. 15 part 1 items 13–14 Law No. 755-IV). Buying a ready-made company as a non-resident runs through the same share transfer as for a Ukrainian buyer — buying a Ukrainian company as a foreigner.
New LLCs are registered by Legal Solutions (legal.ua): name, charter, ownership structure, filing with the registrar and the register extract. The fee is set after a review of the task; the term is from 3 working days, or from 7 with a foreign founder.

Questions before choosing
It depends on the task. A VAT registration already in place, a licence, years in the register or contract experience for a tender point to a ready-made LLC. If none of these matters, a new LLC is cleaner: it carries no inherited obligations, and the founders write the charter and shares for themselves.
Legal Solutions (legal.ua) registers new LLCs; the fee is set after a review of the task. It depends on the number of founders, whether a custom charter is needed and who files. The law sets no administrative fee for creating an LLC; notary and translation of a foreign founder’s documents may be paid separately.
